1. The "No Return" Policy (Refund Policy)
Since digital files are downloaded immediately upon purchase, most studios and software providers use a "Final Sale" model.
The Rule: State clearly that all sales of digital products are final.
The Logic: Once a file is downloaded or the license key is revealed, the product is considered "consumed."
The Exception: You may choose to offer refunds only if the file is proven to be corrupt or if the user has not yet downloaded the product (verified via server logs).
2. Digital Delivery & Access
This section outlines how the customer receives what they paid for.
Immediate Access: Clarify that products are delivered via email or a direct download link.
Download Limits: Specify if there is a limit on how many times a user can download the file or if the link expires after a certain period (e.g., 24 hours).
3. Intellectual Property & License
This is the most critical part of your License agreement. You aren't selling the "ownership" of the sound; you are selling a license to use it.
Usage Rights: Define if the product is for personal use only or if it includes a commercial license (e.g., using a sample in a song released on Spotify).
Prohibitions: Explicitly forbid the customer from reselling, redistributing, or "sharing" the raw files with others.
4. Technical Requirements
To avoid disputes, include a clause regarding compatibility.
Customer Responsibility: State that the buyer is responsible for ensuring they have the correct software (DAW, OS, or plugins) to use the digital product.
No Guarantees: You are not liable if the user’s specific hardware setup cannot run the files.
